Welcome to Nutrify AI ("Service"), a product and service offered by Nutrify Lab, Inc. ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Nutrify AI, including any content, functionality, and services offered through the Nutrify AI mobile application, web application, or other online platforms (collectively, the "Platform").

Please read these Terms carefully before using the Platform. By creating an account, downloading our application, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not use or access our Platform or Services.

1. Acceptance of Terms

1.1. Binding Agreement. These Terms constitute a legally binding agreement between you and Nutrify Lab Inc. By accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.2. Modifications. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision materially affects your rights, we will make reasonable efforts to notify you (e.g., via email or a notice on the Platform). Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.

2. Description of Services

2.1. AI-Driven Food and Product Scanning. Our Service provides artificial intelligence-based scanning functionality to identify foods and products. The accuracy of the scanning feature depends on the quality of the images, user-generated inputs, and available data. We cannot guarantee 100% accuracy, and you acknowledge that reliance on the scanning results is at your own risk.

2.2. Recommendations. Based on the items you scan, the Service provides recommendations (e.g., alternative products, dietary suggestions, recipes). These recommendations are for informational purposes only and are not to be construed as medical or professional advice.

2.3. Explore Page and Purchases. The Platform includes an "Explore Page" where you can discover various products and purchase them through third-party vendors such as Amazon. When you make a purchase, you will be redirected to the respective third-party's website, and your purchase is governed by that vendor's terms and conditions, not ours.

2.4. Recently Scanned Items. You can view a history of your scanned items to track your usage and revisit information. This history is provided solely for your convenience.

2.5. Profile Page. You can maintain a profile page where you track your daily calorie and macronutrient intake, monitor your heart rate, weight, and overall progress. You are solely responsible for the accuracy of the data you provide.

2.6. No Medical Advice. Nutrify AI does not provide medical advice, diagnosis, or treatment. The information and content presented within the Platform are for informational purposes only and are not a substitute for professional medical advice.

3. User Accounts and Registration

3.1. Account Creation. To access certain features of the Service, you may be required to create an account. You agree to provide true, accurate, current, and complete information during registration.

3.2. Account Security. You are responsible for maintaining the confidentiality of your account credentials, and for any activities that occur under your account. If you suspect any unauthorized use of your account, you must immediately notify us at support@nutrifylab.com.

3.3. Account Termination. We may, at our sole discretion, suspend or terminate your account if we suspect any fraudulent, abusive, or unlawful activity, or if you violate these Terms.

4. User Obligations

4.1. Accurate Information. You agree to provide and maintain true, accurate, and complete information, including any personal or dietary data you choose to share on the Platform.

4.2. Health Precautions. You acknowledge that the Service is not a replacement for professional medical guidance. Always consult a healthcare professional before making any changes to your diet, exercise routine, or health-related activities.

4.3. Personal Responsibility. You are solely responsible for any decisions or actions taken based on the information provided by our Platform. Nutrify Lab Inc is not liable for any outcomes resulting from those decisions or actions.

4.4. Lawful Use. You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.

5. Payments and Fees

5.1. Free and Paid Features. The Platform may offer both free and premium features. We reserve the right to introduce fees or modify existing fees for certain features in the future. We will provide advance notice of any such changes.

5.2. No Refunds. Unless required by law, any fees paid for premium features or subscriptions are non-refundable. If you cancel a subscription before the end of the billing cycle, you will not receive a refund for the unused portion.

6. Intellectual Property

6.1. Ownership. All content, features, and functionality available through the Platform—such as text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, and software—are the exclusive property of Nutrify Lab Inc or its licensors and are protected by international copyright, trademark, patent, and other intellectual property rights.

6.2. License to Use. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

6.3. Feedback. Any suggestions, feedback, or ideas you submit to Nutrify Lab Inc for improvements or modifications to the Platform or Service may be used by us without any obligation to compensate you, and you hereby grant Nutrify Lab Inc a perpetual, irrevocable, transferable, and sub-licensable right to use such feedback.

7. User-Generated Content

7.1. Responsibility for User Content. You may have the ability to post, submit, or transmit certain content through the Platform, including but not limited to images of scanned items, dietary logs, or comments ("User Content"). You are solely responsible for the legality, reliability, and appropriateness of any User Content you provide.

7.2. License Grant to Nutrify Lab Inc. By posting or submitting User Content, you grant Nutrify Lab Inc a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing, operating, or improving the Platform.

7.3. Prohibited Content. You agree not to upload, post, or transmit any content that is harmful, obscene, unlawful, defamatory, infringing, or otherwise objectionable. We reserve the right, but are not obligated, to remove any User Content we deem in violation of these Terms, or for any other reason in our sole discretion.

8. Third-Party Links and Services

8.1. Third-Party Links. The Platform may contain links to third-party websites, including Amazon. We do not control, endorse, or assume responsibility for any third-party content, products, or services. Your access to and use of such third-party sites or services is at your own risk.

8.2. Affiliate Disclosure. Some of the links on our Platform may be affiliate links, meaning that we may earn a commission if you click through and make a purchase. This does not affect the price you pay. Your transactions and interaction with any third party are solely between you and the third party.

9. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and share your personal information.

10. Disclaimer of Warranties

10.1. As-Is Basis. The Service, Platform, and all content therein are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2. No Guarantee. We do not guarantee that the Platform will be error-free, uninterrupted, or secure. We are not responsible for any damage or loss caused by your reliance on the Service's accuracy, completeness, or usefulness.

10.3. Health Disclaimer. Nutrify AI and its features do not provide medical advice. The nutritional, dietary, or wellness information provided by the Service should not be used to diagnose, treat, cure, or prevent any medical condition. Always seek professional medical advice regarding your health.

11. Limitation of Liability

11.1. Exclusion of Damages. To the fullest extent permitted by law, Nutrify Lab Inc shall not be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with your use or inability to use the Platform or Services, even if we have been advised of the possibility of such damages.

11.2. Total Liability. In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using the Platform within the last three (3) months preceding the claim.

11.3. Jurisdictional Limitations. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above exclusions may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nutrify Lab Inc, its affiliates, and their respective directors, officers, employees, and agents from and against all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any other person or entity; or (d) any User Content you submit.

13. Termination

13.1. Termination by You. You may terminate your account and cease using the Platform at any time.

13.2. Termination by Us. We may, in our sole discretion, suspend or terminate your access to the Platform if we reasonably believe you have violated these Terms or if we cease to offer the Service.

13.3. Effect of Termination. Upon termination of your account, any rights to use the Platform or access the Service will immediately cease. However, certain sections of these Terms, including but not limited to Intellectual Property, Indemnification, Disclaimers, Limitation of Liability, and Governing Law, shall survive termination.

14. Governing Law and Dispute Resolution

14.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nutrify Lab Inc is established, without regard to its conflict of law provisions.

14.2. Arbitration. Any dispute, claim, or controversy arising out of or related to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of these Terms to arbitrate, shall be determined by arbitration in the state and county (or comparable jurisdiction) where Nutrify Lab Inc is located. The arbitration shall be conducted on a confidential basis pursuant to the Commercial Arbitration Rules of the American Arbitration Association or a comparable arbitration body.

14.3. Class Action Waiver. You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; and (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action basis or to utilize class action procedures.

15. Miscellaneous

15.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nutrify Lab Inc regarding the use of the Platform and supersede any prior agreements or understandings between you and us.

15.2. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

15.3. No Waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of any other provision of these Terms.

15.4. Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms.

15.5. Force Majeure. We shall not be liable for any delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, government orders, or any other force majeure event.
